2. Eligibility and Accounts
You must be legally capable of entering into a binding agreement to use our website, application, and services. Certain services require account creation. You agree to provide accurate information, keep your account credentials secure, and promptly notify us of any unauthorized use of your account. You are responsible for all activities that occur under your account unless caused by our own misconduct.
3. Services
Forensic Revenue provides access to a website, an application, and related services involving the submission, processing, and analysis of certain business conversation materials, including transcripts and, when supported, audio or related inputs. We may modify, suspend, or discontinue any part of the website, application, or services at any time, with or without notice, to the extent permitted by law.
4. No Payment Processing on the Website
We do not process payments through the website at this time. Any paid engagement, if offered or entered into, may be governed by a separate contract, statement of work, order form, invoice, or other written agreement. If there is a conflict between these Terms and a separately executed client agreement, the separate client agreement will control for that engagement.
5. User Submissions and Customer Materials
You may submit information, transcripts, and other materials through the application. You represent and warrant that you own or control the necessary rights to submit such materials; you have obtained any permissions, authorizations, notices, or consents required to record, upload, disclose, and permit processing of such materials; and your submission and our use of the materials will not violate applicable law or the rights of any third party.
You grant us a non-exclusive, worldwide, limited license to host, store, reproduce, transmit, process, analyze, and use submitted materials solely as necessary to operate, provide, maintain, support, and improve the services for you and your organization, subject to our Privacy Policy and any separate written agreement.
6. Acceptable Use
You agree not to use the website, application, or services for any unlawful, fraudulent, infringing, or abusive purpose; upload materials you do not have the right to submit; interfere with or disrupt the security, integrity, or operation of the website or application; attempt to gain unauthorized access to accounts, systems, or data; use the services to violate privacy, surveillance, wiretapping, employment, consumer protection, or other applicable laws; or reverse engineer, copy, scrape, or misuse the website or application except as permitted by applicable law.
7. Intellectual Property
The website, application, and all related content, software, branding, designs, text, graphics, interfaces, features, and underlying materials provided by us are owned by FR Consulting LLC or its licensors and are protected by applicable intellectual property laws. Except as expressly permitted by these Terms, you may not copy, modify, distribute, publicly display, create derivative works from, or exploit our materials without prior written permission.
8. Service Outputs
Service outputs, including analyses, findings, summaries, briefs, or similar materials generated through the service, are provided for business informational purposes. They are not legal advice, regulatory advice, financial advice, or any other professional advice unless expressly stated in a separate signed agreement. You are responsible for your own decisions, actions, and compliance obligations.
9. Confidentiality
We recognize that customer-submitted materials may contain commercially sensitive information. We will handle such materials in a professional manner consistent with our Privacy Policy, our operational practices, and any separate written agreement that may apply. However, unless a separate written confidentiality agreement or client contract provides otherwise, these Terms do not create an unlimited standalone nondisclosure agreement beyond the commitments expressly stated here or in the Privacy Policy.
10. Third-Party Services
The website or application may integrate with or rely on third-party services, platforms, or tools, including scheduling, hosting, storage, authentication, infrastructure, or processing providers. We are not responsible for third-party services, sites, or tools except to the extent required by law.
11. Disclaimers
The website, application, and services are provided on an “as is” and “as available” basis to the maximum extent permitted by law. We disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising out of course of dealing or usage of trade. We do not warrant that the website, application, or services will be uninterrupted, error-free, or secure.
12. Limitation of Liability
To the maximum extent permitted by law, FR Consulting LLC and its officers, directors, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, goodwill, or business opportunities, arising out of or related to your use of or inability to use the website, application, or services.
To the maximum extent permitted by law, our total aggregate liability will not exceed the greater of one hundred U.S. dollars (US$100) or the amount you paid us for the specific service giving rise to the claim during the three months preceding the event.
13. Indemnification
You agree to defend, indemnify, and hold harmless FR Consulting LLC and its officers, directors, employees, contractors, affiliates, licensors, and service providers from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your use of the website, application, or services; your submitted materials; your breach of these Terms; or your violation of applicable law or the rights of a third party.
14. Suspension and Termination
We may suspend or terminate your access to the website, application, or services at any time, with or without notice, if we reasonably believe you have violated these Terms; your use presents a security or legal risk; your use could harm us, our users, or others; or suspension or termination is necessary to comply with law or protect the integrity of the services. You may stop using the services at any time.
15. Governing Law and Venue
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of laws principles, except to the extent mandatory law requires otherwise. To the extent permitted by law, any dispute arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Wyoming, and you consent to the personal jurisdiction and venue of those courts.
16. Changes to the Terms
We may update these Terms from time to time. If we make material changes, we will post the updated version and revise the Effective Date above. Your continued use of the website, application, or services after the updated Terms become effective constitutes your acceptance of the revised Terms.
17. Entire Agreement
These Terms, together with our Privacy Policy and any separate written agreement that applies to a paid engagement, constitute the entire agreement between you and FR Consulting LLC regarding the website, application, and services, except where a separate written agreement expressly supersedes these Terms in part.
